Terms of Service

Welcome to FarmItAll™ Pro (the "Service", "Platform", "we", "us", or "our"). By accessing or using our software-as-a-service platform, you ("User", "Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using FarmItAll™ Pro, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

2. License & Use of Service

Subject to these Terms and timely payment of applicable fees, FarmItAll™ Pro grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal farm management business operations. You may not:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service or its content.
• Use the Service to build a competing product.
• Remove or alter any proprietary, copyright, or trademark notices.
• Use automated means (bots, scrapers) to access the Service without written permission.

3. Intellectual Property

All software, features, designs, source code, content, and trademarks within the Platform — including the names "FarmItAll Pro" and "FarmItAll™", related logos, and all derivative works — are the exclusive property of FarmItAll Pro and are protected by U.S. and international copyright, trademark, and trade secret laws. Your data remains yours; the Platform itself does not.

4. Customer Data Ownership

You retain all ownership rights to data you input into the Platform ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely as necessary to provide the Service. We do not sell your data.

5. Subscription, Fees & Payment

Access to certain features requires a paid subscription. Fees are billed in advance and are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

6. Acceptable Use

You agree not to use the Service to: (a) violate any law, (b) infringe on the rights of others, (c) transmit malicious code, (d) interfere with or disrupt the Platform's integrity, or (e) attempt unauthorized access to any portion of the Service.

7. Food Safety Disclaimer — CRITICAL — READ CAREFULLY

The Service includes features related to food processing, recipe management, ingredient sourcing, pantry management, and AI-generated recipe suggestions (collectively, the "Food Processing Features"). These features are provided as business productivity tools only and are NOT a substitute for professional food safety expertise, regulatory compliance, or human judgment.

YOU ACKNOWLEDGE AND AGREE THAT:

• The Service is not a food safety system. The Platform is a software tool designed to assist with farm management operations. It is not a HACCP plan, a food safety management system, a substitute for FDA/USDA/state/local regulatory compliance, or a replacement for professional food safety consultation.
• You are solely responsible for food safety. The User (farm, food producer, processor, or their staff) bears full and exclusive responsibility for verifying that every ingredient used in any recipe, production batch, or food product is safe for human consumption, food-grade, free from contamination, and compliant with all applicable food safety laws and regulations.
• AI-generated recipes may contain errors. Recipe suggestions generated by the Platform's AI features are produced by language models and may be inaccurate, incomplete, or unsafe. The AI does not have food safety expertise and may suggest ingredient combinations, quantities, or processes that are unsafe, allergenic, or non-compliant. You must independently verify every recipe and ingredient before use.
• The pantry approval system is a tool, not a guarantee. The Platform includes a pantry item approval feature designed to prevent non-food items (such as animal feed, fertilizers, chemicals, cleaning supplies, packaging materials, and equipment) from entering recipe suggestions. However, this system cannot and does not guarantee that all non-food items will be blocked. The keyword-based and category-based filters may fail to identify non-food items with novel names, misspelled descriptions, or unexpected categorizations. The approval gate is a risk-reduction measure, not a food safety certification.
• Non-food items may enter the system despite safety filters. Supplier invoices, purchase orders, and inventory data imported into the Platform may contain non-food items that bypass automated filters. The Platform's food-grade categorization relies on product category data that may be incomplete, incorrect, or manipulated by users. You must manually inspect and verify every ingredient before it is used in food production, regardless of whether the Platform has "approved" it.
• Human error and deliberate misuse cannot be prevented. The Platform cannot prevent a user from deliberately or accidentally adding a non-food ingredient to a recipe, approving an unsafe pantry item, or misusing the Food Processing Features in a way that creates a food safety hazard. The User is responsible for training staff, enforcing food safety protocols, and supervising all use of the Platform.
• No liability for foodborne illness or injury. The Platform, its developers, operators, and affiliates shall not be held liable for any illness, injury, death, recall, regulatory action, or damages arising from the use of any recipe, ingredient, or food product created, modified, or managed using the Service, regardless of whether the Platform's safety features approved, flagged, or failed to flag any ingredient or recipe.
• Regulatory compliance is your responsibility. The User is solely responsible for compliance with all applicable food safety regulations, including but not limited to the FDA Food Safety Modernization Act (FSMA), USDA regulations, state and local health codes, HACCP requirements, labeling requirements, allergen disclosure laws, and any cottage food or processed food licensing requirements applicable to the User's jurisdiction and operations.
• Consult a food safety professional. The User is strongly encouraged to consult with a licensed food safety professional, a HACCP-certified consultant, and/or a food safety attorney before using the Food Processing Features in any commercial food production operation.

8. AI Features — Additional Disclaimers

The Service includes artificial intelligence (AI) and machine learning features, including but not limited to AI-generated recipe suggestions, nutrition estimates, crop planning assistance, pest/disease identification, and other AI-powered tools (collectively, "AI Features"). You acknowledge and agree that:

• AI Features generate outputs based on statistical models and may produce incorrect, incomplete, biased, or unsafe results.
• AI-generated recipe suggestions may include non-food ingredients, unsafe quantities, allergenic combinations, or non-compliant labeling. You must independently verify all AI outputs before use.
• AI nutrition estimates are approximations and are not a substitute for laboratory analysis or professional nutritional consultation. Nutrition labels printed on food products must be verified by a qualified professional.
• AI Features do not account for individual food allergies, dietary restrictions, cross-contamination risks, or specific regulatory requirements applicable to your products or jurisdiction.
• The Platform is not liable for any decisions made based on AI-generated content, including recipe selection, ingredient sourcing, nutrition labeling, or production planning.
• You are solely responsible for reviewing, verifying, and approving all AI-generated content before it is used in any food production, labeling, or commercial activity.

9. Termination

We may suspend or terminate your access at any time for breach of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination, after which it may be permanently deleted.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. WITHOUT LIMITING THE FOREGOING, THE SERVICE DOES NOT WARRANT OR GUARANTEE THAT ANY RECIPE, INGREDIENT, OR FOOD PRODUCT CREATED OR MANAGED THROUGH THE PLATFORM IS SAFE FOR HUMAN CONSUMPTION, COMPLIANT WITH FOOD SAFETY REGULATIONS, OR FREE FROM NON-FOOD CONTAMINANTS. SEE SECTIONS 7 AND 8 ABOVE FOR ADDITIONAL FOOD SAFETY AND AI DISCLAIMERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMITALL PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR REVENUE. WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL FARMITALL PRO BE LIABLE FOR ANY FOODBORNE ILLNESS, INJURY, DEATH, PRODUCT RECALL, REGULATORY PENALTY, OR OTHER DAMAGES ARISING FROM OR RELATING TO THE USE OF ANY RECIPE, INGREDIENT, PANTRY ITEM, OR FOOD PRODUCT CREATED, MODIFIED, APPROVED, OR MANAGED USING THE SERVICE, REGARDLESS OF WHETHER THE PLATFORM'S SAFETY FEATURES APPROVED, FLAGGED, OR FAILED TO FLAG ANY INGREDIENT OR RECIPE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FarmItAll Pro, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, lawsuits, damages, losses, liabilities, settlements, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service or violation of these Terms;
• Any food product, recipe, or ingredient created, modified, approved, or managed using the Service, including but not limited to any foodborne illness, injury, product recall, or regulatory action arising therefrom;
• Your failure to independently verify that ingredients are food-grade, safe for human consumption, and compliant with applicable regulations before use in food production;
• Any breach of food safety by your staff, contractors, or agents, including the deliberate or accidental addition of non-food ingredients to recipes despite the Platform's safety features;
• Your violation of any applicable law, regulation, or third-party right; or
• Any User Content or data you submit to the Platform.

This indemnification obligation survives termination of these Terms and your use of the Service.

13. Governing Law

These Terms are governed by the laws of the State of Maine, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Maine.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Material changes to the Food Safety Disclaimer (Section 7) or AI Features Disclaimer (Section 8) will be accompanied by a notification requiring affirmative acknowledgment before continued use of the affected features.
